1. General Information and Non-affiliation

Welcome to BOIRight (the “Website”).
By accessing or using our Website and services, including the filing of Beneficial Ownership Information (BOI) reports on behalf of our clients, you agree to be bound by these Terms and Conditions (the “Agreement”) and our Privacy Policy.
This Website is a private entity that provides BOI filing assistance services and is not affiliated, endorsed, or associated with any government agency, including the Financial Crimes Enforcement Network (FinCEN). All services offered are strictly administrative in nature, and any filings are made within the legal parameters of applicable laws.

2. Services and Authorizations

We provide a service to assist LLC owners, corporations, and other entities with filing Beneficial Ownership Information (BOI) reports as required under the Corporate Transparency Act. The Website is powered by Nuco Filings Corp. and reports are submitted via their FinCEN approved Application Programming Interface (API).
Customers are required to provide and input all necessary beneficial ownership information themselves via the platform. While assistance via phone or support tickets is available, customers remain solely responsible for providing accurate and complete information required for filing.
Customers must comply with all applicable federal, state, and local laws when using the Website Services, including all requirements related to the Corporate Transparency Act and FinCEN’s BOI reporting regulations.
By using our service, you certify that you are authorized to file this BOIR on behalf of the reporting company. You further certify, on behalf of the reporting company, that the information contained in this BOIR is true, correct, and complete. You further authorize BOIRight and Nuco Filings Corp. to prepare and submit BOI reports to FinCEN on your behalf based on the information provided by you.

3. Fees and Payment Terms

• The agreement between the Website and the customer is a one-time agreement, effective upon receipt of payment and successful filing of the BOI report.
• The fee for filing a Beneficial Ownership Information (BOI) report is a one-time charge, inclusive of applicable taxes. The fee covers one filing submission to FinCEN.
• Accepted Payment Methods: We accept major credit cards and debit cards for payment processing.
• No Refund Policy: All payments made to BOIRight are non-refundable under any circumstances, including but not limited to errors, omissions, or delays on our part. Once a form is submitted and payment is processed, there will be no refunds, reversals, or chargebacks allowed, regardless of the outcome of your filing.
• Non-payment: If payment is not successfully processed or is later reversed, BOIRight reserves the right to pursue legal action to recover the outstanding balance.
• Customers acknowledge that they have the option to file their BOI reports directly with FinCEN at no cost. By choosing to use our Website, customers agree to pay for the convenience of using our service, which facilitates the submission process on their behalf.

4. Data Privacy and Protection

Your privacy is important to us. We collect the information necessary to complete your BOI filing and process your payment.

• Data Handling: We take reasonable measures to secure your personal and financial information, including but not limited to encryption and secure data storage practices.
• No Sharing or Selling of Information: We do not sell, share, or disclose any of your personal information to third parties, except as required by law.

5. Intellectual Property Rights

All content on the Website, including text, graphics, logos, images, forms, and other materials, is the intellectual property of BOIRight and Nuco Filings Corp. and is protected by copyright laws.

• Restrictions on Use: No content from this Website may be copied, reproduced, distributed, or transmitted in any form or by any means without explicit written permission from BOIRight and Nuco Filings Corp.

6. Limitation of Liability

BOIRight and Nuco Filings Corp. provides administrative services related to BOI filings and assumes no responsibility for any losses, damages, or penalties incurred due to errors, delays, or rejections by government agencies.
Customers acknowledge that they are solely responsible for any penalties, fines, or consequences resulting from the late, incomplete, or inaccurate submission of BOI reports. BOIRight or Nuco Filings Corp. will not be held liable for any such penalties imposed by FinCEN.

• Liability Cap: In no event shall our liability exceed the total amount paid by you for the services rendered.
• No Guarantees or Warranties: The Services provided by the Website are offered “as-is, without any warranty, express or implied. We do not guarantee the approval or acceptance by FinCEN of any BOI filing submitted on your behalf.

7. Updated and Corrected Filing:

Customers acknowledge that if any information provided in a BOI report changes or was incorrect when initially filed, they are responsible for notifying BOIRight or FinCEN directly within a timely manner.

Updated or corrected filings must be submitted to FinCEN within 30 days after a change or discovery of an inaccuracy.

8. Indemnification

Customers agree to indemnify and hold BOIRight and Nuco Filings Corp. harmless from any claims, damages, or penalties arising out of the submission of inaccurate or incomplete information, or due to any delays caused by the customer in providing necessary data.

9. Force Majeure

BOIRight and Nuco Filings Corp. shall not be held liable for any failure to perform the Services due to causes beyond our control, including but not limited to natural disasters, government actions, or technical failures.

10. Modifications and Termination of Service

We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice.

11. Marketing and Communication

By providing your email address, you agree to receive marketing and informational emails from BOIRight and Nuco Filings Corp. We do not use cookies or tracking technologies on our Website.

12. Acknowledgment

By using this Website and purchasing our services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
